Pathwright Beyond Affiliate Program Terms & Conditions

Welcome to the Pathwright Beyond Affiliate Program! We're excited to have you join us in our mission to multiply the impact teachers have on the world. By signing up through Rewardful, our platform for tracking affiliate deals and payments, you agree to the following terms and conditions (the “Agreement”).

The Agreement is between you, as a valued partner (“You” or “Affiliate”), and DUO Interactive, LLC (“Pathwright”). Each of us may be referred to as a “Party,” and together as the “Parties.” For your convenience, you can review the current version of this Agreement at any time at this link. We reserve the right to update and change this Agreement by posting updates and changes here. If we make significant changes, we’ll do our best to give you reasonable notice by email.

Your continued participation in the Pathwright Beyond Affiliate Program signifies your acceptance of these changes.

1. Program Overview

1.1 Program Details

The Pathwright Beyond Affiliate Program is designed to reward you for referring new customers to Pathwright. You'll earn a recurring commission for each new customer who signs up using your referral link. Our goal is to create a partnership that benefits everyone, especially our educators and their learners.

1.2 Eligibility

To be eligible to join our program, you must:

  • Have an active Pathwright account.

  • Be at least 18 years old, or the age of majority in your jurisdiction.

  • Provide accurate and complete information during the signup process.

  • Agree to comply with this Agreement and all Pathwright Policies.

  • Not be an employee, agent, or representative of Pathwright.

To get started, apply here. We review all applications carefully and may accept or reject any application at our discretion, but we’ll share a reason and follow up questions if there seems to be an issue.

2. Affiliate Responsibilities

2.1 Marketing & Compliance

You’ll bear any costs and expenses related to your marketing or promotion of Pathwright. Marketing activities must comply with laws and regulations, especially those related to email marketing and anti-spam laws. Specifically, you must:

  • Only send emails, texts, and other messages to individuals or organizations that have explicitly opted-in to your communications or with whom you have a personal relationship. We have a zero-tolerance spam policy.

  • Include your contact information and an “unsubscribe” option in any emails or other messages sent to a list of people or using any automated tool (e.g., Mailchimp, WhatsApp).

  • Clearly communicate that your marketing content is not created on behalf of Pathwright and make your relationship as a third-party affiliate clear and obvious.

We trust you to represent Pathwright positively and truthfully. Any marketing practices that create a false impression or that may annoy recipients (based solely on our assessment) will disqualify this agreement and all further commissions.

2.2 Prohibited Activities

To maintain the integrity of our program, please avoid the following:

  • Advertising Pathwright on coupon or incentivized sites without permission.

  • Using Pathwright trademarks, images, or content in search engine or any other marketing without our approval.

  • Creating or participating in third-party networks without express written permission.

  • Engaging in fraudulent activities, such as using bots or deceptive redirecting links.

Permission for any of the above must be granted by a Pathwright team member in writing.

2.3 Account Security and Communication
  • You’ll need an active PayPal account to receive your referral fees.

  • Affiliates must engage in business activities, not personal activities, in their role as an affiliate.

  • Keep your account information secure. You’re responsible for all activity that occurs under your account.

  • Inform us promptly if you become aware of any information that could lead to a claim against Pathwright.

3. Commissions & Payments

3.1 Commission Structure and Payment

Once accepted into the Pathwright Beyond Affiliate Program, you’ll receive unique affiliate URLs to promote Pathwright. When someone clicks through your URL and signs up for a Pathwright account, a cookie will be set in their browser, registering a “Sale.” If multiple affiliate cookies are present, the most recently-acquired cookie will determine the credited affiliate. You’ll earn a 20% recurring commission on fees received by Pathwright for the base subscription plan of each Sold Account. We process payments monthly on the 25th, following receipt of payment from the Sold Account.

3.2 Conditions for Earning Commissions
  • Commissions are paid only for transactions that actually occur and are received by Pathwright.

  • If a transaction results in a refund or charge-back, the commission will be deducted from future payments.

  • No commissions are paid on accounts affiliated with your own business.

  • We reserve the right to withhold commissions for fraudulent or non-compliant activities.

4. Termination Conditions

4.1 Termination by Either Party

Either of us may terminate this Agreement at any time, with or without cause, effective immediately upon notice to the other party.

4.2 Effects of Termination

Upon termination:

  • You must cease displaying any Pathwright materials or trademarks.

  • All rights granted to you under this Agreement will immediately cease.

  • You will no longer be entitled to any further commissions, except as otherwise specified.

5. Intellectual Property

5.1 Use of Marketing Materials and Trademarks

We provide marketing materials for your use in promoting Pathwright. These materials must be used as provided and should not be altered or misrepresented. We grant you a limited, revocable, non-exclusive license to display Pathwright’s trademarks for marketing purposes. Please follow our guidelines and use our trademarks lawfully.

6. Policy Changes & Questions

Any information that we collect is subject to the version of the Privacy Policy in effect at the time such information is collected. We may, however, revise our Privacy Policy once in a while. If a revision is significant (as determined solely by us) we will notify you via email or by a prominent message displayed within Pathwright. The current version of our Privacy Policy will be posted to our Privacy Policy page for your review at any time.

7. Legal Provisions

7.1 Dispute Resolution

Any disputes arising under this Agreement will be resolved through mediation or arbitration, as specified by Pathwright.

7.2 Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of laws principles.

7.3 Limitation of Liability

Pathwright is not liable for any indirect, incidental, or consequential damages arising from this Agreement. Our liability is limited to the referral fees paid to you in the six months preceding the event giving rise to the claim.

7.4 Indemnification

You agree to indemnify and hold Pathwright harmless from any claims arising from your breach of this Agreement or misconduct.

8. Modifications to this Agreement

We may modify this Agreement at any time by posting a revised version at the link above. Your continued participation in the Pathwright Beyond Affiliate Program after any modifications signifies your acceptance of the updated terms.
